Her practice focuses on all aspects of public, assisted, and affordable housing development and operation. Megan represents public housing authorities and others across the country on complex redevelopment efforts using the mixed-finance development method using HOPE VI and public housing capital funds, low income housing tax credits, state tax credits, tax exempt bonds, project-based Section 8, private debt and other public and private sources of development funds. In addition, Megan advocates for housing providers on regulatory issues dealing with the U.S. Department of Housing and Urban Development on issues ranging from defending Office of Inspector General audits to obtaining waivers of program requirements to advising on Fair Housing compliance. Megan helped shape the HOPE VI Program in the early 1990’s and worked with a coalition of interest groups to address inadequate total development cost limits and other structuring obstacles for mixed finance transactions, which ultimately lead to the Quality Housing and Work Responsibility Act. Megan served on the advisory board of experts that helped HUD create the Mixed Finance Guidebook, the Cost Control and Safe Harbor Standards, and the Project Review Panel Protocol. Selected Recent Transactions - Oversees Reno & Cavanaugh’s representation of The Habitat Company LLC, the receiver for the development of non-elderly public housing in Chicago with respect to the large-scale redevelopment of Chicago’s public housing stock, including the developments known as ABLA, Cabrini-Green, Henry Horner Homes, Madden-Wells Homes, Robert Taylor Homes, Rockwell Gardens, and Stateway Gardens.
- Represents the receiver or the housing authority in Detroit, Chester PA, and New Haven CT, each of which has multiple HOPE VI sites and is engaged in numerous mixed-finance rental and homeownership transactions.
- Negotiated several termination or de-designation agreements between housing authorities and developers.
- Worked with a housing authority in an Inspector General audit of its nonprofit affiliates and resident participation programs to minimize exposure of the authority for mistakes by former executive.
- Successfully represented several authorities with “not-in-my-backyard” issues with HUD and/or neighbors contesting particular sites for low income housing.
- Drafted the formation documents for the National Organization of African Americans in Housing (“NOAAH”).
- Worked with the Housing Authority of Louisville (now the Louisville Metro Housing Authority) on the Park DuValle Revitalization to structure its relationship with the developers, the city, and other funders.
- Helped clients negotiate memoranda of agreement with state historic preservation offices to enable their developments to go forward.
- Negotiated the sale of public housing property to enable a housing authority to use the proceeds for housing development.
- Structured a limited equity cooperative as replacement of traditional public housing, ending the development’s reliance on federal subsidy and winning neighborhood support for the development.
- Advised on the structuring of new enabling legislation and alternative structures for public housing authorities transitioning out of receivership.
Major Prior Work Experience Prior to attending law school, Megan was a press aide to Reverend Jesse L. Jackson, Sr. and worked at Rhode Island Legal Services on state legislative initiatives to increase the supply of affordable housing. During a hiatus from the firm in 1994, Megan worked at the Housing Authority of the County of Contra Costa, where she assisted with grant writing and a comprehensive overhaul of policies and procedures for the Section 8 and public housing programs. - Housing Authority of the County of Contra Costa, Martinez CA, 1994, Management Specialist
